TrinityRail is currently seeking a Contracts Specialist to join our Lease Contracts & Pricing team at our corporate offices in Dallas, Texas

 

The Contract Administration function within TrinityRail is responsible for ensuring commercial transactions pertaining to leases and sales of TrinityRail assets/product are supported by legally binding contract documents with satisfactory terms and conditions. In fulfilling its role Contract Administration interfaces with TrinityRail’s Customers, Commercial Sales team, Senior Management, Corporate Legal resources, Capital Markets team, Portfolio Management team, Fleet Operations team and others. Evidence of the success of Contract Administration is TrinityRail’s premier status as a high volume syndicator of railroad car assets supported by fully executed market desirable lease contracts.

 

Responsibilities:

• Draft railcar lease contract documentation, ensure execution in advance of scheduled delivery and enter lease contract data into TrinityRail’s electronic order management system to allow accurate electronic tracking of signature status

• Review incumbent lease riders to identify unique terms and provide Portfolio Management with an overview of unique terms each quarter

• Prepare for, and participate in, weekly cross functional shipment schedule meetings to advise as to signature status of lease contract documentation

• Prepare for, and participate in internal lease termination meetings and draft termination acknowledgement letters

• Interact with Credit and Accounting Groups for purposes of preparing ancillary contract documentation including but not limited to parent guaranties and default notice letters

• Participate in routine monthly audit of lease contract documentation and provide contract documentation and underlying support in response to periodic internal and external audits

• Support TrinityRail’s Capital Markets Group by providing executed contract documentation upon request and by overseeing the timely and accurate processing of purchases and sale contract documentation covering leased railcars into TrinityRail’s billing system.

• Provide support to the Vice President of Pricing and Contract Administration as needed through the preparation and review of Terms & Conditions of Sale and monitor manufacturing schedule to ensure signature in advance of scheduled delivery

 

 

Requirements:

• Bachelor’s Degree in Business Administration or related field

• Minimum of five years’ work experience with primary responsibility in the area of contract drafting

• Advanced knowledge of the principles and practices of contract administration

• Strong analytic and problem-solving skills

• Strong verbal communication skills

• Strong writing skills including the ability to express complex contract terms accurately and concisely

• Excellent organizational skills and attention to detail

• Capable of managing high contract volume and of assuming responsibility of assigned matters from start to finish

• Able to prioritize assignments and respond to deadlines

• Strong Microsoft Office Suite skills (particularly Word and Excel)

 

Preferred Experience:

• Transactional paralegal experience, JD or prior employment within a corporate legal or contract administration department

• Finance background

• Intermediate understanding of Insurance / Risk Management terms and concepts

• Advanced-level Excel skills

• Prior experience with electronic order and invoicing systems such as EOS and TAS

• Prior project management skills
